Description
Afsana is a Barrister-at-Law from the Honourable Society of Lincoln’s Inn and a practicing advocate at the Supreme Court of Bangladesh. She graduated from Cardiff University (LL.B Hons.). She was called to the bar of England & Wales in 2013 after completing bar professional training course at Cardiff University, UK. She is qualified to practice in Bangladesh and is a member of the Dhaka Bar Association and Supreme Court Bar Association. She has a keen interest in litigation and enjoys civil, writ, and corporate litigations. She also practices in the corporate area, specializing in structuring corporate transactions both offshore and local.
She worked as an associate at Amir & Amir Law Associates, one of the oldest and most renowned law chambers in Bangladesh. Later she joined DFDL, Bangladesh an international firm, as an Associate.
Currently, she is a Partner at Russel and Partners, a full set of chambers specializing in Corporate Law, Immigration Law, Arbitration & Litigation.
Some of Afsana’s significant work during her practice is set out below:
- Acted as Bangladesh legal counsel to Commerce International Merchant Bankers (“CIMB”), the sole sponsor, underwriter and book runner, in relation to the Initial.
- Public Offering (“IPO”) of Evergreen Products Group Limited, a Hong Kong company with significant manufacturing assets in Bangladesh.
- Advised International Finance Corporation (“IFC”) on a USD170 million financing to a Singapore entity for the proposed acquisition of Summit Corporation Limited that owns a majority controlling stake in 17 gas and fuel based power projects ranging from 50 MW to 450MW capacity.
- Advised The City Bank Limited in the investment in it by IFC through issuance of new shares.
- Acted for SC Johnson, a large American FMCG company, in their acquisition of household brands from a publicly listed Bangladeshi FMCG conglomerate.
- Acted for Infrastructure Development Company Limited (“IDCOL”), in relation to financing Summit Barisal, and Summit Narayangonj Power Unity, two HFO IPPs, owned by Summit Corporation Limited.
- Acted for CGN Meiya Power in relation to its acquisition of a portfolio of three large IPP projects in Bangladesh from EDRA Power of Malaysia.
- Advised PROPARCO, the French EDFI on a USD20 million loan to a Bangladeshi Bank.
- Advising Gildan, one of the largest t-shirt manufacturers in the world based in Canada, in all aspects of corporate, commercial, real property, local regulatory and compliance issues in Bangladesh, in relation to its manufacturing plant in Bangladesh;
- Advised Facebook in relation to copyright issues and claims under Bangladesh law;
- Advised JLT Asia, Prudential Insurance, BUPA regarding insurance issues and claims under Bangladesh law.
- Advised Bharat Heavy Electricals Limited (“BHEL”) in relation to their contractual obligations and preparing a risk matrix identifying the apparent and latent risks in entering into contracts.
- Advised Aer Cap in relation to aviation law-related queries.
- Regularly advising Aggreko Power Limited and GAB Limited in relation to the immigration of their expatriate employees.
- Appears before the Supreme Court of Bangladesh by representing clients case and obtaining rules and ancillary orders in their favour.
